YOUR MEMBERSHIP ACCOUNT

RISK OF LOSS

All items purchased from Artisans Bonsai are made pursuant to a shipment contract. This basically means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

PRODUCT DESCRIPTIONS

Artisans Bonsai and its associates attempt to be as accurate as possible. However, Artisans Bonsai does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by Artisans Bonsai itself is not as described, your sole remedy is to return it in unused condition.

APPLICABLE LAW

By visiting Artisans Bonsai, you agree that the laws of the state of Florida, Hillsborough County, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that might arise between you and Artisans Bonsai or its associates.

DISPUTES

Any dispute relating in any way to your visit to Artisans Bonsai or to products you purchase through Artisans Bonsai shall be submitted to confidential arbitration in Florida, Hillsborough County, except that, to the extent you have in any manner violated or threatened to violate Artisans Bonsai’s intellectual property rights, Artisans Bonsai Inc. may seek injunctive or other appropriate relief in any state or federal court in the state of Florida, Hillsborough County, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrators award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

FINANCING & SUBSCRIPTION TERMS & AGREEMENT

Company: Artisans Bonsai Inc. / EastWest Bonsai Supply Co.

1. AGREEMENT TO TERMS

By purchasing any product, service, class, or program under a payment plan or subscription, you (“Customer”) agree to be bound by this Financing & Subscription Agreement.

2. PAYMENT OBLIGATION

Customer agrees to complete all payments associated with the selected plan.

• All payment plans are legally binding
• Customer is responsible for the full term selected, regardless of usage, attendance, or product condition
• Failure to complete payments does not void this agreement

3. BILLING AUTHORIZATION

Customer authorizes recurring charges to the payment method provided.

• Charges will occur based on the selected plan (monthly, prepaid, etc.)
• Customer must maintain a valid payment method at all times
• Failed payments may be retried automatically

4. LATE OR FAILED PAYMENTS

If a payment fails:

• Account may be suspended immediately
• Access to services, classes, or programs may be revoked
• Products may be withheld or repossessed (if applicable)
• Late fees may be applied

Continued failure to pay may result in:

• Immediate acceleration of the remaining balance
• Collections activity
• Additional fees and costs

5. NO CANCELLATION / NO REFUNDS

All financing and subscription agreements are:

• Non-cancelable
• Non-refundable
• Non-transferable

This applies to all:

• Bonsai trees
• Classes and workshops
• Membership programs
• Bundled products or services

6. PRODUCT CONDITION & LIABILITY (BONSAI TREES)

Bonsai trees are living organisms.

• No guarantee is provided once the tree leaves our care
• Customer assumes full responsibility for watering, placement, and maintenance

We strongly encourage customers to contact us with any questions. We are committed to supporting your success.

7. CLASSES & PROGRAMS

• Attendance is the responsibility of the Customer
• Missed classes are not refundable or credited
• Make-up sessions may be offered at our discretion but are not guaranteed

8. EARLY TERMINATION & DEFAULT

Customer may not terminate this agreement early.

If Customer stops making payments:

• The remaining balance becomes immediately due
• Access to services and programs will be terminated
• Account may be referred to collections

9. OWNERSHIP (IF APPLICABLE)

For financed products:

• Ownership may remain with the Company until paid in full
• Company reserves the right to reclaim products upon default where permitted by law

10. CHARGEBACKS & DISPUTES

Customer agrees not to initiate chargebacks.

All disputes must be handled directly with the Company.

Improper chargebacks may result in:

• Immediate account termination
• Collections activity
• Additional fees and legal action

11. MODIFICATIONS

We reserve the right to update or modify these Terms at any time without prior notice.

12. GOVERNING LAW

This Agreement shall be governed by and interpreted under the laws of the State of Florida.

13. ACCEPTANCE

By completing a purchase and/or agreeing to these terms, Customer acknowledges that they have read, understood, and agreed to this Financing & Subscription Agreement.

SITE POLICIES, MODIFICATION, AND SEVERABILITY

Please review our other policies, such as our Shipping and Returns policy, posted on this site. These policies also govern your visit to Artisans Bonsai. We reserve the right to make changes to our site, policies, and these Conditions of Use at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
